Set up your data room in an afternoon

The folders investors expect at pre-seed and seed, what to share when, the red flags that stall closings, and free tools to host it.

2 to 4 hours$0Beginner

A data room ready on day one says you run a tight ship. A scramble during diligence says the opposite, and slow answers kill momentum. At pre-seed it's a short list. At seed, investors expect more.

1Create the folders

Use numbered folders so the order never changes, whatever tool you host it in.

FolderWhat goes inPre-seed?
01 CompanyIncorporation documents, bylaws, board consentsIncorporation and bylaws
02 PitchDeck (PDF), one-pager, demo video linkYes
03 FinancialsModel, historical P&L, burn and runwayModel and burn only
04 Cap tableCap table, SAFEs and notes, option plan and grantsYes
05 LegalMaterial contracts, IP assignments, NDAsIP assignments only
06 ProductRoadmap, architecture overview, security notesLater
07 TeamOrg chart, founder bios, key hiresLater
08 Customers and tractionMetrics export, pipeline, case studies, referencesYes
09 MarketMarket sizing with its method, competitive landscapeLater

Add a 00 Index document at the top that lists every file, so investors open one thing first.

2Fill it, and mark what's missing

Go through the list and mark each item ready, draft or missing. Then fix the missing items in order of how early investors ask for them: deck and model first, cap table and IP next, contracts last.

3Check for the red flags

Red flags to clear before diligence0/5

4Share in stages, not all at once

  1. Before the first call: the deck PDF, or a one-pager. Nothing else.
  2. After a good first call: the deck, model, demo and traction exports.
  3. In diligence (after a term sheet or a serious second meeting): legal, cap table, contracts and financial statements.

5Pick where to host it
